Best M&A Advisors for Commercial and Facilities Services Companies (2026)

Commercial and facilities services has the widest valuation spread of any lower-middle-market category. The same janitorial company can be a 3.5x business or an 8x business, and the difference is not size. It is contract mix.

That spread is structural rather than cyclical, which means it is something an owner can deliberately move. Here is what the market pays, who buys, and where the threshold sits.

What commercial services companies sell for

Reported 2026 ranges for cleaning and janitorial run from roughly 1.5x to 7x on SDE or EBITDA depending on profile. Small residential operators sit around 1.5x to 2.5x SDE. Mid-size commercial janitorial at $1 million to $5 million revenue runs about 3x to 4.5x. Established contract-heavy companies at $5 million to $15 million revenue reach roughly 4x to 6x EBITDA, and platform-ready businesses with scale, management depth and specialty services reach 5x to 7x.

A second framing makes the threshold explicit. Commercial janitorial has been reported at roughly 5x to 8x for platform-quality companies versus 3.5x to 5.5x for owner-operator businesses, with the dividing line drawn at a contract base above eighty percent. Landscaping maintenance shows the same pattern at higher absolute numbers: roughly 6x to 10x platform versus 4x to 6x owner-operator, with the line at sixty percent recurring maintenance revenue.

Landscaping stretches furthest of all. Reported 2026 ranges run from about 3.5x for sub-$500,000 owner-operator residential shops to as high as 12x for scaled commercial platforms combining heavy contract mix, route density in a major metro, and snow revenue.

For scale context, the US commercial janitorial market runs roughly $93 billion in annual revenue on a 2024 Census baseline, with commercial work accounting for the large majority of category share.

The contract threshold is the whole game

If you take one thing from this: the percentage of your revenue under multi-year contract is the single variable that moves you between valuation bands.

Thirty-day cancellable terms mean a buyer is purchasing goodwill and a customer list. Multi-year agreements with defined scopes, escalation clauses and reasonable notice periods mean a buyer is purchasing contracted revenue. Those are different assets and they are priced as different assets.

This is also the most addressable item on the list. Converting your largest accounts from handshake renewals to written multi-year terms is work you can do in twelve to twenty-four months, and it can be worth more than several years of margin improvement.

Specialty verticals trade where general cleaning never does

The other structural driver is what you clean, not how much.

Healthcare environmental services, cleanroom, life sciences and data center critical environments command premiums that general office cleaning does not approach. WGNSTAR, a semiconductor cleanroom services business, was acquired in February 2026 for $275 million at a reported implied 12x to 15x trailing EBITDA. Quality Uptime Services, in data center critical power, sold for $119 million in 2024.

Specialized certifications and regulated environments function the same way certifications do in manufacturing: as a barrier competitors cannot cross quickly, which buyers underwrite as a moat.

Who is buying

This sector has an unusually well-defined buyer pool, which is exactly why a public listing is the wrong route.

Private-equity-backed platforms include Kellermeyer Bergensons Services, backed by Cerberus and reported active on targets in the $2 million to $10 million range, 4M Building Solutions backed by O2 Investment Partners, KBS under a KKR, Ares and BlackRock consortium, and Pritchard Industries backed by Littlejohn & Co.

Public strategics include ABM Industries, active on targets reported around $3 million to $15 million, Aramark, and internationally ISS A/S and Sodexo. In healthcare environmental services specifically, Healthcare Services Group and Compass Group North America brands including Crothall and SSC Services for Education are consistent acquirers.

The diligence items specific to this sector

Commercial services carries labor and regulatory exposures that most other categories do not, and they surface late if you have not prepared.

Workers compensation history and experience modification rate, since a poor mod follows the business and prices into the offer. Wage determination compliance on any government or institutional contracts. Union exposure and successor liability where applicable. Joint-employer questions for franchise operators. And worker classification, which buyers examine closely in route-based businesses.

None of these are deal killers when disclosed early. All of them are expensive when a buyer finds them in week eight.

Common questions

What multiple do janitorial companies sell for?

Reported 2026 ranges run from about 1.5x to 2.5x SDE for small residential operators, 3x to 4.5x for mid-size commercial at $1 million to $5 million revenue, and 4x to 6x EBITDA for contract-heavy companies at $5 million to $15 million revenue. Platform-quality businesses with a contract base above eighty percent have been reported at 5x to 8x.

What multiple do landscaping companies sell for?

Reported 2026 ranges run from roughly 3.5x for small residential owner-operator shops to as much as 12x for scaled commercial platforms with recurring maintenance above sixty-five percent, route density in a major metro, and snow revenue. Maintenance platforms generally run 6x to 10x versus 4x to 6x for owner-operator businesses.

What is the single biggest driver of value in commercial services?

The percentage of revenue under multi-year contract. It determines which valuation band you occupy, and it is the most addressable item an owner can work on before a sale.

Do specialty cleaning niches sell for more?

Substantially more. Healthcare environmental services, cleanroom, life sciences and data center critical environments command premiums well above general office cleaning, with one semiconductor cleanroom business reported acquired at an implied 12x to 15x trailing EBITDA in early 2026.

Where to start

Count your contracted revenue as a percentage of total, and find out which side of the threshold you are on. If you are below it, you have found the highest-return project available to you before a sale.
